1. Ambito di applicazione, forma scritta e priorità delle presenti CGV

1.1 Le presenti Condizioni generali di vendita (“CGV”) si applicano a tutti i contratti di vendita e consegna di merci conclusi tramite il marketplace online EdgeVend (il “Negozio online”) tra EdgeVend e il cliente (“Cliente”, “voi”).

1.2 Le presenti CGV si applicano esclusivamente agli imprenditori ai sensi del § 14 BGB, alle persone giuridiche di diritto pubblico e ai patrimoni separati di diritto pubblico. Non concludiamo contratti con consumatori ai sensi del § 13 BGB.

1.3 Le presenti CGV si applicano, nella loro versione di volta in volta vigente, anche come quadro per i futuri contratti conclusi dallo stesso Cliente tramite il Negozio online, senza che dobbiamo richiamarle nuovamente in ogni singolo caso.

1.4 Le condizioni del Cliente che contrastano o si discostano dalle presenti CGV non entrano a far parte del contratto, anche se non ci opponiamo espressamente ad esse nei singoli casi o effettuiamo consegne senza riserva.

1.5 Tutti gli accordi relativi all’esecuzione di un contratto sono vincolanti solo in forma scritta o testuale (ad es. conferma d’ordine, accordo quadro scritto, e-mail). Le dichiarazioni orali o le informazioni telefoniche non sono vincolanti finché non siano da noi confermate in forma di testo.

2. Negozio online, Offers e Product Information

2.1 Product presentations in the Negozio online, catalogues, brochures, technical information, samples e trial consegne are non vincolante e do not constitute a vincolante offer.

2.2 Technical information (including drawings, illustrations, data, weight, dimensions, performance values) are industry-standard approximations e do not constitute an agreement on specific qualities o a guarantee of properties, unless expressly confirmed as vincolante in our conferma d’ordine.

2.3 Drawings, 3D models, CAD data, sketches, calculations e other documents provided by us o our suppliers remain the property of the respective rights holder e are protected by intellectual property laws. They may not be disclosed per third parties without our prior written consent.

2.4 The Cliente is responsible for documents, data e specifications it provides e warrants that their use does not infringe third-party rights. The Cliente shall indemnify us against claims arising in this context.

2.5 We reserve the right per make minor e technically necessary changes per the merci, provided this is reasonable for the Cliente e does not affect the agreed functionality.

3. Registration e Cliente Account

3.1 Access per ordering functions may require registration e a Cliente account. The Cliente warrants that it acts as a business entity e is duly authorised per conclude contratti in its name.

3.2 The Cliente must keep login data confidential. Actions performed under the Cliente’s account shall be attributed per the Cliente unless the Cliente proves unauthorised use without its responsibility.

3.3 We may refuse o revoke registration for good cause, including misuse of the Negozio online, persistent payment default, o justified doubts about creditworthiness.

4. Conclusion of Contract

4.1 Product displays in the Negozio online are invitations per place an order only (invitatio ad offerendum).

4.2 By completing the order process e clicking “Order con obligation per pay” (or similar), the Cliente submits a vincolante offer per purchase the merci in the shopping cart.

4.3 We may accept the Cliente’s offer within 7 days after receipt by (i) sending an conferma d’ordine in forma scritta, o (ii) dispatching the merci, o (iii) richiestaing o collecting payment. The contratto is concluded upon acceptance.

4.4 We reserve the right per refuse orders, in particular if consegna is not possible, the merci are no longer available o can only be supplied under changed conditions, there are indications of misuse, o justified doubts exist about creditworthiness.

5. Subject of Contract e Role of EdgeVend

5.1 The subject of the contratto is the consegna of precision cutting tools e related products as described in the conferma d’ordine.

5.2 EdgeVend operates a multi-brand B2B marketplace. Unless otherwise indicated during checkout o in the conferma d’ordine, EdgeVend acts as the seller of record towards the Cliente.

5.3 Goods are shipped as drop shipments directly from manufacturers’ German warehouses. EdgeVend does not operate its own warehouse at this time.

5.4 Application information, machining parameters, tool recommendations e similar content (including calculators, wizards e digital advisors) are non vincolante guidance e do not constitute a guarantee of performance o suitability for a particular application.

5.5 The Cliente is responsible for selecting the correct tool, verifying suitability for its specific machine/setup/material/process, e conducting test cuts e validations before serial production.

6. Prices, Taxes e Payment

6.1 Unless otherwise agreed, all prices are in EUR e are net (excluding statutory VAT). Shipping costs (standard o express) are shown at checkout.

6.2 VAT is calculated in base a the consegna address e the Cliente’s VAT status.

6.3 EU B2B / Reverse charge: Per cross-border consegne within the EU, VAT may be charged at 0% (reverse charge / intra-Community supply) if the Cliente provides a valid VAT identification number e all statutory requirements are met.

6.4 Se the Cliente does not provide a VAT ID, provides an invalid VAT ID, o does not qualify as a taxable person, we may (at our discretion) (i) charge VAT, (ii) richiesta informazioni aggiuntivermation, o (iii) refuse/cancel the order.

6.5 We may apply minimum order values, minimum packaging units, o quantity increments for certain products. Such conditions are indicated in the Negozio online o the conferma d’ordine.

6.6 Payment methods

6.6.1 Available payment methods are shown in the Negozio online. By default, orders are payable immediately (e.g. card, instant transfer o similar methods made available in checkout).

6.6.2 Payment on invoice (“on account”) is available only for Clientes explicitly approvato by EdgeVend (e.g. VIP / framework clienti). Se approvato, the payment term is 20 days net from invoice date, unless stated otherwise in the conferma d’ordine.

6.6.3 We reserve the right per restrict payment methods in base a risk, order value e credit assessment.

6.7 Default e credit risk

6.7.1 In the event of late payment, we may charge statutory default interest for business transactions e a flat fee where permitted by law.

6.7.2 Se we become aware of circumstances that significantly jeopardise our payment claims, we may declare outstanding claims immediately due, revoke payment on account, e require advance payment o suitable security. Se the Cliente fails per comply within a reasonable period, we may withdraw from the contratto.

6.7.3 Set-off is only permitted con undisputed o legally established claims. Rights of retention may only be exercised in base a claims arising from the same contrattoual relationship.

7. Delivery Area, Delivery, Partial Deliveries e Self-Supply Reservation

7.1 Delivery area: We deliver exclusively within the European Union (EU27). Deliveries outside the EU are not offered at this time.

7.2 Shipping methods (standard/express), shipping costs e practical consegna information are described in our Spedizione e consegna Policy as amended from time per time.

7.3 Delivery times stated in the Negozio online are approximate unless expressly agreed as vincolante. Delivery periods start on the date of our conferma d’ordine, provided all required details are clarified e the Cliente has fulfilled all obligations (including payments where required).

7.4 We are entitled per make partial consegne per a reasonable extent. Per marketplace orders, this may occur where items are shipped from different manufacturers/warehouses o where part of the merci is available earlier.

7.5 Unless stated otherwise, we do not charge additional shipping fees for partial consegne that belong per the same original order.

7.6 Our obligation per deliver is subject per correct e timely self-supply by our manufacturers/suppliers. Se we do not receive merci (or receive them incorrectly o late) despite a corresponding covering transaction e we are not responsible, we may withdraw from the contratto in whole o in part. We will inform the Cliente without undue delay e refund any consideration already received for the undelivered merci.

7.7 In case of force majeure o circumstances beyond our control (e.g. strikes, lockouts, pandemics, operational disruptions, raw material shortages, transport disruptions, war, embargoes, governmental measures), consegna periods shall be extended by the duration of the hindrance plus a reasonable restart period. Se performance becomes impossible o unreasonable, either party may withdraw from the affected part of the contratto.

8. Transfer of Risk, Shipping e Packaging

8.1 Unless otherwise agreed, consegna is effected as a shipment purchase. Risk of accidental loss o deterioration passes per the Cliente when the merci are handed over per the first carrier/freight forwarder/other person designated per perform the shipment.

8.2 Se shipment is delayed at the Cliente’s richiesta o due per reasons within the Cliente’s responsibility, risk passes when we notify readiness for shipment. Storage costs after risk transfer shall be borne by the Cliente.

8.3 The Cliente must check consignments for visible transport damage at consegna e have such damage noted on the carrier’s consegna documents. The Cliente must also inform EdgeVend without undue delay e support us in handling transport claims.

8.4 Unless otherwise agreed, packaging e shipment are determined at our reasonable discretion in line con industry practice.

9. Riserva di proprietà

9.1 We retain title per the merci until all claims from the contrattoual relationship have been paid in full.

9.2 The Cliente must handle merci subject per retention of title con due care e insure them at replacement value against customary risks.

9.3 Pledging, assignment by way of security o other dispositions of the reserved merci are not permitted. The Cliente must immediately notify us of any access by third parties (e.g. seizures) e provide all information e documents necessary per protect our rights.

9.4 The Cliente may resell merci subject per retention of title in the ordinary course of business. The Cliente hereby assigns per us all claims arising from such revendita up per the amount of our invoice value. We accept this assignment. The Cliente remains authorised per collect such claims until revocation.

10. Duty per Inspect, Notification of Defects e Warranty

10.1 The Cliente must comply con its duty per inspect e notify defects in accordance con section 377 HGB. Goods are deemed approvato if defects are not reported in due time.

10.2 The Cliente shall inspect merci without undue delay after consegna e notify us in forma scritta of visible defects, shortages, transport damage o incorrect consegne within 5 working days of consegna. Hidden defects must be reported without undue delay after discovery.

10.3 In case of justified e timely notice of defects, we will, at our discretion, remedy the defect (repair) o deliver non-defective replacement merci.

10.4 Se subsequent performance fails o is not carried out within a reasonable period, the Cliente may reduce the purchase price o withdraw from the contratto e claim damages in accordance con clause 12, subject per statutory conditions.

10.5 Warranty claims become time-barred 12 months after consegna unless mandatory longer periods apply, the defect was fraudulently concealed, a guarantee was given, o the claim relates per injury of life, body o health.

10.6 Per cutting tools, wear e durata utensile depend on external factors (material, machine, serraggio, parameters). Normal wear o reduced durata utensile due per application conditions do not constitute defects.

11. Resi e RMA (Overview)

11.1 There is no general diritto di recesso for clienti business. Returns are only possible after prior written approval by EdgeVend e assignment of an RMA number.

11.2 Reclami (defects, wrong consegna, transport damage) must be submitted within the time limits stated in clause 10.2 e in our Resi e RMA Policy.

11.3 Where a return is approvato for reasons other than defect, a restocking/handling fee may apply. Any applicable fee will be confirmed in the RMA approval before you ship anything back.

11.4 Resi e RMA are handled in detail under our separate Resi e RMA Policy as amended from time per time.

12. Responsabilità

12.1 We are liable without limitation for damages resulting from intent o gross negligence, arising from culpable injury per life, body o health, e under the German Product Responsabilità Act.

12.2 In cases of slight negligence, we are liable only for breach of essential contrattoual obligations (cardinal duties). In such cases, liability is limited per typical, foreseeable damage.

12.3 We are not liable for indirect o consequential damages (production downtime, loss of profit, loss of use, loss of expected savings) unless clause 12.1 applies.

12.4 Responsabilità limitations apply also per legal representatives, employees e vicarious agents.

13. Product Safety, Recalls e Cooperation Duties

13.1 The Cliente must observe all safety instructions, operating instructions e warnings provided by the manufacturer and/or EdgeVend.

13.2 The Cliente must not remove safety labels o product identification e must ensure that users are properly instructed.

13.3 Se EdgeVend o a manufacturer initiates a safety notice o recall, the Cliente shall cooperate reasonably, in particular by stopping use of affected merci where required, providing traceability information e returning merci where richiestaed.

13.4 Se the Cliente causes o contributes per a safety issue by improper use, modification, incorrect installation o non-compliant application, the Cliente shall indemnify EdgeVend against third-party claims per the extent legally permissible.

14. Technical Advice e Responsibility for Manufactured Parts

14.1 Advice e recommendations are provided per the best of our knowledge but are non vincolante e do not replace the Cliente’s own testing e validation.

14.2 The Cliente remains responsible for final parameter selection/programming, serraggio, use of suitable holders/machines, e compliance con laws e safety rules.

14.3 The Cliente is solely responsible for the quality e conformity of parts manufactured using tools purchased from EdgeVend.

15. Intellectual Property

15.1 Content e materials provided via the Negozio online are protected by IP laws. The Cliente receives no rights beyond the non-exclusive right per use the Negozio online for ordering e internal evaluation.

16. Confidentiality

16.1 Non-public information disclosed in connection con orders o projects must be kept confidential e used only for the purpose of performance of the contratto, unless disclosure is required by law.

17. Protezione dei dati e Credit Checks

17.1 We process personal data in accordance con applicable data protection law, in particular the GDPR. Details are set out in our Informativa sulla privacy.

17.2 We may perform credit checks o risk assessments per the extent legally permissible e necessary, including via service providers.

18. Export Control e Compliance

18.1 Performance is subject per export control e sanctions compliance. The Cliente must provide required information e comply con applicable regulations.

19. Amendments per Le presenti CGV

19.1 We may amend these CGV con effect for the future where reasonable for the Cliente, particularly due per changes in law, case law o our business model.

19.2 Amended CGV will be communicated in forma scritta. Se the Cliente does not object within 4 weeks e continues per use the Negozio online, the amended CGV are deemed accepted. We will inform the Cliente about this consequence when notifying amendments.

19.3 Per contratti already concluded, the CGV in force at the time of the Cliente’s order apply.

20. Governing Law e Jurisdiction

20.1 Le presenti CGV e all contratti concluded under them are governed by the laws of the Federal Republic of Germania, excluding conflict-of-law rules e the UN Convention on Contracts for the International Sale of Goods (CISG).

20.2 Exclusive place of jurisdiction for disputes is EdgeVend’s registered office, provided the Cliente is a merchant/legal entity under public law/special fund under public law. We may also bring actions at the Cliente’s general place of jurisdiction.

21. Severability

Se any provision is invalid o unenforceable, remaining provisions remain unaffected. Parties shall replace the invalid provision con a valid one that comes as close as possible per the intended economic purpose.
