1. Ámbito de aplicación, forma escrita y prioridad de estas CGC
1.1 Las presentes Condiciones generales de contratación (“CGC”) se aplican a todos los contratos de venta y entrega de mercancías celebrados a través del marketplace online de EdgeVend (la “Tienda online”) entre EdgeVend y el cliente (“Cliente”, “usted”).
1.2 Estas CGC se aplican exclusivamente a empresarios en el sentido del § 14 BGB, a personas jurídicas de derecho público y a patrimonios especiales de derecho público. No celebramos contratos con consumidores en el sentido del § 13 BGB.
1.3 Estas CGC se aplican en su versión vigente también como marco para futuros contratos celebrados por el mismo Cliente a través de la Tienda online, sin que tengamos que volver a remitirnos a ellas en cada caso individual.
1.4 Las condiciones del Cliente que contradigan o se aparten de estas CGC no pasarán a formar parte del contrato, incluso si no nos oponemos expresamente a ellas en casos individuales o realizamos entregas sin reservas.
1.5 Todos los acuerdos relativos a la ejecución de un contrato solo son vinculantes en forma escrita o de texto (por ejemplo, confirmación de pedido, acuerdo marco escrito o correo electrónico). Las manifestaciones verbales o la información telefónica no son vinculantes hasta que las confirmemos en forma de texto.
2. Tienda online, Offers y Product Information
2.1 Product presentations in the Tienda online, catalogues, brochures, technical information, samples y trial entregas are no vinculante y do not constitute a vinculante offer.
2.2 Technical information (including drawings, illustrations, data, weight, dimensions, performance values) are industry-standard approximations y do not constitute an agreement on specific qualities o a guarantee of properties, unless expressly confirmed as vinculante in our confirmación de pedido.
2.3 Drawings, 3D models, CAD data, sketches, calculations y other documents provided by us o our suppliers remain the property of the respective rights holder y are protected by intellectual property laws. They may not be disclosed para third parties without our prior written consent.
2.4 The Cliente is responsible for documents, data y specifications it provides y warrants that their use does not infringe third-party rights. The Cliente shall indemnify us against claims arising in this context.
2.5 We reserve the right para make minor y technically necessary changes para the mercancías, provided this is reasonable for the Cliente y does not affect the agreed functionality.
3. Registration y Cliente Account
3.1 Access para ordering functions may require registration y a Cliente account. The Cliente warrants that it acts as a business entity y is duly authorised para conclude contratos in its name.
3.2 The Cliente must keep login data confidential. Actions performed under the Cliente’s account shall be attributed para the Cliente unless the Cliente proves unauthorised use without its responsibility.
3.3 We may refuse o revoke registration for good cause, including misuse of the Tienda online, persistent payment default, o justified doubts about creditworthiness.
4. Conclusion of Contract
4.1 Product displays in the Tienda online are invitations para place an order only (invitatio ad offerendum).
4.2 By completing the order process y clicking “Order con obligation para pay” (or similar), the Cliente submits a vinculante offer para purchase the mercancías in the shopping cart.
4.3 We may accept the Cliente’s offer within 7 days after receipt by (i) sending an confirmación de pedido in forma escrita, o (ii) dispatching the mercancías, o (iii) solicituding o collecting payment. The contrato is concluded upon acceptance.
4.4 We reserve the right para refuse orders, in particular if entrega is not possible, the mercancías are no longer available o can only be supplied under changed conditions, there are indications of misuse, o justified doubts exist about creditworthiness.
5. Subject of Contract y Role of EdgeVend
5.1 The subject of the contrato is the entrega of precision cutting tools y related products as described in the confirmación de pedido.
5.2 EdgeVend operates a multi-brand B2B marketplace. Unless otherwise indicated during checkout o in the confirmación de pedido, EdgeVend acts as the seller of record towards the Cliente.
5.3 Goods are shipped as drop shipments directly from manufacturers’ German warehouses. EdgeVend does not operate its own warehouse at this time.
5.4 Application information, machining parameters, tool recommendations y similar content (including calculators, wizards y digital advisors) are no vinculante guidance y do not constitute a guarantee of performance o suitability for a particular application.
5.5 The Cliente is responsible for selecting the correct tool, verifying suitability for its specific machine/setup/material/process, y conducting test cuts y validations before serial production.
6. Prices, Taxes y Payment
6.1 Unless otherwise agreed, all prices are in EUR y are net (excluding statutory VAT). Shipping costs (standard o express) are shown at checkout.
6.2 VAT is calculated en función de the entrega address y the Cliente’s VAT status.
6.3 EU B2B / Reverse charge: Para cross-border entregas within the EU, VAT may be charged at 0% (reverse charge / intra-Community supply) if the Cliente provides a valid VAT identification number y all statutory requirements are met.
6.4 Si the Cliente does not provide a VAT ID, provides an invalid VAT ID, o does not qualify as a taxable person, we may (at our discretion) (i) charge VAT, (ii) solicitud información adicionalrmation, o (iii) refuse/cancel the order.
6.5 We may apply minimum order values, minimum packaging units, o quantity increments for certain products. Such conditions are indicated in the Tienda online o the confirmación de pedido.
6.6 Payment methods
6.6.1 Available payment methods are shown in the Tienda online. By default, orders are payable immediately (e.g. card, instant transfer o similar methods made available in checkout).
6.6.2 Payment on invoice (“on account”) is available only for Clientes explicitly aprobado by EdgeVend (e.g. VIP / framework clientes). Si aprobado, the payment term is 20 days net from invoice date, unless stated otherwise in the confirmación de pedido.
6.6.3 We reserve the right para restrict payment methods en función de risk, order value y credit assessment.
6.7 Default y credit risk
6.7.1 In the event of late payment, we may charge statutory default interest for business transactions y a flat fee where permitted by law.
6.7.2 Si we become aware of circumstances that significantly jeopardise our payment claims, we may declare outstanding claims immediately due, revoke payment on account, y require advance payment o suitable security. Si the Cliente fails para comply within a reasonable period, we may withdraw from the contrato.
6.7.3 Set-off is only permitted con undisputed o legally established claims. Rights of retention may only be exercised en función de claims arising from the same contratoual relationship.
7. Delivery Area, Delivery, Partial Deliveries y Self-Supply Reservation
7.1 Delivery area: We deliver exclusively within the European Union (EU27). Deliveries outside the EU are not offered at this time.
7.2 Shipping methods (standard/express), shipping costs y practical entrega information are described in our Envío y entrega Policy as amended from time para time.
7.3 Delivery times stated in the Tienda online are approximate unless expressly agreed as vinculante. Delivery periods start on the date of our confirmación de pedido, provided all required details are clarified y the Cliente has fulfilled all obligations (including payments where required).
7.4 We are entitled para make partial entregas para a reasonable extent. Para marketplace orders, this may occur where items are shipped from different manufacturers/warehouses o where part of the mercancías is available earlier.
7.5 Unless stated otherwise, we do not charge additional shipping fees for partial entregas that belong para the same original order.
7.6 Our obligation para deliver is subject para correct y timely self-supply by our manufacturers/suppliers. Si we do not receive mercancías (or receive them incorrectly o late) despite a corresponding covering transaction y we are not responsible, we may withdraw from the contrato in whole o in part. We will inform the Cliente without undue delay y refund any consideration already received for the undelivered mercancías.
7.7 In case of force majeure o circumstances beyond our control (e.g. strikes, lockouts, pandemics, operational disruptions, raw material shortages, transport disruptions, war, embargoes, governmental measures), entrega periods shall be extended by the duration of the hindrance plus a reasonable restart period. Si performance becomes impossible o unreasonable, either party may withdraw from the affected part of the contrato.
8. Transfer of Risk, Shipping y Packaging
8.1 Unless otherwise agreed, entrega is effected as a shipment purchase. Risk of accidental loss o deterioration passes para the Cliente when the mercancías are handed over para the first carrier/freight forwarder/other person designated para perform the shipment.
8.2 Si shipment is delayed at the Cliente’s solicitud o due para reasons within the Cliente’s responsibility, risk passes when we notify readiness for shipment. Storage costs after risk transfer shall be borne by the Cliente.
8.3 The Cliente must check consignments for visible transport damage at entrega y have such damage noted on the carrier’s entrega documents. The Cliente must also inform EdgeVend without undue delay y support us in handling transport claims.
8.4 Unless otherwise agreed, packaging y shipment are determined at our reasonable discretion in line con industry practice.
9. Reserva de dominio
9.1 We retain title para the mercancías until all claims from the contratoual relationship have been paid in full.
9.2 The Cliente must handle mercancías subject para retention of title con due care y insure them at replacement value against customary risks.
9.3 Pledging, assignment by way of security o other dispositions of the reserved mercancías are not permitted. The Cliente must immediately notify us of any access by third parties (e.g. seizures) y provide all information y documents necessary para protect our rights.
9.4 The Cliente may resell mercancías subject para retention of title in the ordinary course of business. The Cliente hereby assigns para us all claims arising from such reventa up para the amount of our invoice value. We accept this assignment. The Cliente remains authorised para collect such claims until revocation.
10. Duty para Inspect, Notification of Defects y Warranty
10.1 The Cliente must comply con its duty para inspect y notify defects in accordance con section 377 HGB. Goods are deemed aprobado if defects are not reported in due time.
10.2 The Cliente shall inspect mercancías without undue delay after entrega y notify us in forma escrita of visible defects, shortages, transport damage o incorrect entregas within 5 working days of entrega. Hidden defects must be reported without undue delay after discovery.
10.3 In case of justified y timely notice of defects, we will, at our discretion, remedy the defect (repair) o deliver non-defective replacement mercancías.
10.4 Si subsequent performance fails o is not carried out within a reasonable period, the Cliente may reduce the purchase price o withdraw from the contrato y claim damages in accordance con clause 12, subject para statutory conditions.
10.5 Warranty claims become time-barred 12 months after entrega unless mandatory longer periods apply, the defect was fraudulently concealed, a guarantee was given, o the claim relates para injury of life, body o health.
10.6 Para cutting tools, wear y vida útil de la herramienta depend on external factors (material, machine, sujeción, parameters). Normal wear o reduced vida útil de la herramienta due para application conditions do not constitute defects.
11. Devoluciones y RMA (Overview)
11.1 There is no general derecho de desistimiento for clientes empresariales. Returns are only possible after prior written approval by EdgeVend y assignment of an RMA number.
11.2 Reclamaciones (defects, wrong entrega, transport damage) must be submitted within the time limits stated in clause 10.2 y in our Devoluciones y RMA Policy.
11.3 Where a return is aprobado for reasons other than defect, a restocking/handling fee may apply. Any applicable fee will be confirmed in the RMA approval before you ship anything back.
11.4 Devoluciones y RMA are handled in detail under our separate Devoluciones y RMA Policy as amended from time para time.
12. Responsabilidad
12.1 We are liable without limitation for damages resulting from intent o gross negligence, arising from culpable injury para life, body o health, y under the German Product Responsabilidad Act.
12.2 In cases of slight negligence, we are liable only for breach of essential contratoual obligations (cardinal duties). In such cases, liability is limited para typical, foreseeable damage.
12.3 We are not liable for indirect o consequential damages (production downtime, loss of profit, loss of use, loss of expected savings) unless clause 12.1 applies.
12.4 Responsabilidad limitations apply also para legal representatives, employees y vicarious agents.
13. Product Safety, Recalls y Cooperation Duties
13.1 The Cliente must observe all safety instructions, operating instructions y warnings provided by the manufacturer and/or EdgeVend.
13.2 The Cliente must not remove safety labels o product identification y must ensure that users are properly instructed.
13.3 Si EdgeVend o a manufacturer initiates a safety notice o recall, the Cliente shall cooperate reasonably, in particular by stopping use of affected mercancías where required, providing traceability information y returning mercancías where solicituded.
13.4 Si the Cliente causes o contributes para a safety issue by improper use, modification, incorrect installation o non-compliant application, the Cliente shall indemnify EdgeVend against third-party claims para the extent legally permissible.
14. Technical Advice y Responsibility for Manufactured Parts
14.1 Advice y recommendations are provided para the best of our knowledge but are no vinculante y do not replace the Cliente’s own testing y validation.
14.2 The Cliente remains responsible for final parameter selection/programming, sujeción, use of suitable holders/machines, y compliance con laws y safety rules.
14.3 The Cliente is solely responsible for the quality y conformity of parts manufactured using tools purchased from EdgeVend.
15. Intellectual Property
15.1 Content y materials provided via the Tienda online are protected by IP laws. The Cliente receives no rights beyond the non-exclusive right para use the Tienda online for ordering y internal evaluation.
16. Confidentiality
16.1 Non-public information disclosed in connection con orders o projects must be kept confidential y used only for the purpose of performance of the contrato, unless disclosure is required by law.
17. Protección de datos y Credit Checks
17.1 We process personal data in accordance con applicable data protection law, in particular the GDPR. Details are set out in our Política de privacidad.
17.2 We may perform credit checks o risk assessments para the extent legally permissible y necessary, including via service providers.
18. Export Control y Compliance
18.1 Performance is subject para export control y sanctions compliance. The Cliente must provide required information y comply con applicable regulations.
19. Amendments para Estas CGC
19.1 We may amend these CGC con effect for the future where reasonable for the Cliente, particularly due para changes in law, case law o our business model.
19.2 Amended CGC will be communicated in forma escrita. Si the Cliente does not object within 4 weeks y continues para use the Tienda online, the amended CGC are deemed accepted. We will inform the Cliente about this consequence when notifying amendments.
19.3 Para contratos already concluded, the CGC in force at the time of the Cliente’s order apply.
20. Governing Law y Jurisdiction
20.1 Estas CGC y all contratos concluded under them are governed by the laws of the Federal Republic of Alemania, excluding conflict-of-law rules y the UN Convention on Contracts for the International Sale of Goods (CISG).
20.2 Exclusive place of jurisdiction for disputes is EdgeVend’s registered office, provided the Cliente is a merchant/legal entity under public law/special fund under public law. We may also bring actions at the Cliente’s general place of jurisdiction.
21. Severability
Si any provision is invalid o unenforceable, remaining provisions remain unaffected. Parties shall replace the invalid provision con a valid one that comes as close as possible para the intended economic purpose.
