1. Champ d’application, forme écrite et priorité des présentes CGV
1.1 Les présentes Conditions générales de vente (“CGV”) s’appliquent à tous les contrats de vente et de livraison de marchandises conclus via la marketplace en ligne EdgeVend (la « Boutique en ligne ») entre EdgeVend et le client (« Client », « vous »).
1.2 Les présentes CGV s’appliquent exclusivement aux entrepreneurs au sens du § 14 BGB, aux personnes morales de droit public et aux patrimoines spéciaux de droit public. Nous ne concluons pas de contrats avec des consommateurs au sens du § 13 BGB.
1.3 Les présentes CGV s’appliquent dans leur version en vigueur également comme cadre pour les futurs contrats conclus par le même Client via la Boutique en ligne, sans que nous ayons à y renvoyer à nouveau dans chaque cas individuel.
1.4 Les conditions du Client qui contredisent ou dérogent aux présentes CGV ne deviennent pas partie intégrante du contrat, même si nous ne nous y opposons pas expressément dans des cas individuels ou si nous exécutons des livraisons sans réserve.
1.5 Tous les accords relatifs à l’exécution d’un contrat n’ont de caractère contraignant qu’en forme écrite ou texte (par ex. confirmation de commande, accord-cadre écrit, e-mail). Les déclarations orales ou informations téléphoniques ne sont pas contraignantes tant que nous ne les avons pas confirmées sous forme de texte.
2. Boutique en ligne, Offers et Product Information
2.1 Product presentations in the Boutique en ligne, catalogues, brochures, technical information, samples et trial livraisons are non contraignant et do not constitute a contractuel offer.
2.2 Technical information (including drawings, illustrations, data, weight, dimensions, performance values) are industry-standard approximations et do not constitute an agreement on specific qualities ou a guarantee of properties, unless expressly confirmed as contractuel in our confirmation de commande.
2.3 Drawings, 3D models, CAD data, sketches, calculations et other documents provided by us ou our suppliers remain the property of the respective rights holder et are protected by intellectual property laws. They may not be disclosed pour third parties without our prior written consent.
2.4 The Client is responsible for documents, data et specifications it provides et warrants that their use does not infringe third-party rights. The Client shall indemnify us against claims arising in this context.
2.5 We reserve the right pour make minor et technically necessary changes pour the marchandises, provided this is reasonable for the Client et does not affect the agreed functionality.
3. Registration et Client Account
3.1 Access pour ordering functions may require registration et a Client account. The Client warrants that it acts as a business entity et is duly authorised pour conclude contrats in its name.
3.2 The Client must keep login data confidential. Actions performed under the Client’s account shall be attributed pour the Client unless the Client proves unauthorised use without its responsibility.
3.3 We may refuse ou revoke registration for good cause, including misuse of the Boutique en ligne, persistent payment default, ou justified doubts about creditworthiness.
4. Conclusion of Contract
4.1 Product displays in the Boutique en ligne are invitations pour place an order only (invitatio ad offerendum).
4.2 By completing the order process et clicking “Order avec obligation pour pay” (or similar), the Client submits a contractuel offer pour purchase the marchandises in the shopping cart.
4.3 We may accept the Client’s offer within 7 days after receipt by (i) sending an confirmation de commande in forme écrite, ou (ii) dispatching the marchandises, ou (iii) demandeing ou collecting payment. The contrat is concluded upon acceptance.
4.4 We reserve the right pour refuse orders, in particular if livraison is not possible, the marchandises are no longer available ou can only be supplied under changed conditions, there are indications of misuse, ou justified doubts exist about creditworthiness.
5. Subject of Contract et Role of EdgeVend
5.1 The subject of the contrat is the livraison of precision cutting tools et related products as described in the confirmation de commande.
5.2 EdgeVend operates a multi-brand B2B marketplace. Unless otherwise indicated during checkout ou in the confirmation de commande, EdgeVend acts as the seller of record towards the Client.
5.3 Goods are shipped as drop shipments directly from manufacturers’ German warehouses. EdgeVend does not operate its own warehouse at this time.
5.4 Application information, machining parameters, tool recommendations et similar content (including calculators, wizards et digital advisors) are non contraignant guidance et do not constitute a guarantee of performance ou suitability for a particular application.
5.5 The Client is responsible for selecting the correct tool, verifying suitability for its specific machine/setup/material/process, et conducting test cuts et validations before serial production.
6. Prices, Taxes et Payment
6.1 Unless otherwise agreed, all prices are in EUR et are net (excluding statutory VAT). Shipping costs (standard ou express) are shown at checkout.
6.2 VAT is calculated en fonction de the livraison address et the Client’s VAT status.
6.3 EU B2B / Reverse charge: Pour cross-border livraisons within the EU, VAT may be charged at 0% (reverse charge / intra-Community supply) if the Client provides a valid VAT identification number et all statutory requirements are met.
6.4 Si the Client does not provide a VAT ID, provides an invalid VAT ID, ou does not qualify as a taxable person, we may (at our discretion) (i) charge VAT, (ii) demande informations complémentairesrmation, ou (iii) refuse/cancel the order.
6.5 We may apply minimum order values, minimum packaging units, ou quantity increments for certain products. Such conditions are indicated in the Boutique en ligne ou the confirmation de commande.
6.6 Payment methods
6.6.1 Available payment methods are shown in the Boutique en ligne. By default, orders are payable immediately (e.g. card, instant transfer ou similar methods made available in checkout).
6.6.2 Payment on invoice (“on account”) is available only for Clients explicitly approuvé by EdgeVend (e.g. VIP / framework clients). Si approuvé, the payment term is 20 days net from invoice date, unless stated otherwise in the confirmation de commande.
6.6.3 We reserve the right pour restrict payment methods en fonction de risk, order value et credit assessment.
6.7 Default et credit risk
6.7.1 In the event of late payment, we may charge statutory default interest for business transactions et a flat fee where permitted by law.
6.7.2 Si we become aware of circumstances that significantly jeopardise our payment claims, we may declare outstanding claims immediately due, revoke payment on account, et require advance payment ou suitable security. Si the Client fails pour comply within a reasonable period, we may withdraw from the contrat.
6.7.3 Set-off is only permitted avec undisputed ou legally established claims. Rights of retention may only be exercised en fonction de claims arising from the same contratual relationship.
7. Delivery Area, Delivery, Partial Deliveries et Self-Supply Reservation
7.1 Delivery area: We deliver exclusively within the European Union (EU27). Deliveries outside the EU are not offered at this time.
7.2 Shipping methods (standard/express), shipping costs et practical livraison information are described in our Expédition et livraison Policy as amended from time pour time.
7.3 Delivery times stated in the Boutique en ligne are approximate unless expressly agreed as contractuel. Delivery periods start on the date of our confirmation de commande, provided all required details are clarified et the Client has fulfilled all obligations (including payments where required).
7.4 We are entitled pour make partial livraisons pour a reasonable extent. Pour marketplace orders, this may occur where items are shipped from different manufacturers/warehouses ou where part of the marchandises is available earlier.
7.5 Unless stated otherwise, we do not charge additional shipping fees for partial livraisons that belong pour the same original order.
7.6 Our obligation pour deliver is subject pour correct et timely self-supply by our manufacturers/suppliers. Si we do not receive marchandises (or receive them incorrectly ou late) despite a corresponding covering transaction et we are not responsible, we may withdraw from the contrat in whole ou in part. We will inform the Client without undue delay et refund any consideration already received for the undelivered marchandises.
7.7 In case of force majeure ou circumstances beyond our control (e.g. strikes, lockouts, pandemics, operational disruptions, raw material shortages, transport disruptions, war, embargoes, governmental measures), livraison periods shall be extended by the duration of the hindrance plus a reasonable restart period. Si performance becomes impossible ou unreasonable, either party may withdraw from the affected part of the contrat.
8. Transfer of Risk, Shipping et Packaging
8.1 Unless otherwise agreed, livraison is effected as a shipment purchase. Risk of accidental loss ou deterioration passes pour the Client when the marchandises are handed over pour the first carrier/freight forwarder/other person designated pour perform the shipment.
8.2 Si shipment is delayed at the Client’s demande ou due pour reasons within the Client’s responsibility, risk passes when we notify readiness for shipment. Storage costs after risk transfer shall be borne by the Client.
8.3 The Client must check consignments for visible transport damage at livraison et have such damage noted on the carrier’s livraison documents. The Client must also inform EdgeVend without undue delay et support us in handling transport claims.
8.4 Unless otherwise agreed, packaging et shipment are determined at our reasonable discretion in line avec industry practice.
9. Réserve de propriété
9.1 We retain title pour the marchandises until all claims from the contratual relationship have been paid in full.
9.2 The Client must handle marchandises subject pour retention of title avec due care et insure them at replacement value against customary risks.
9.3 Pledging, assignment by way of security ou other dispositions of the reserved marchandises are not permitted. The Client must immediately notify us of any access by third parties (e.g. seizures) et provide all information et documents necessary pour protect our rights.
9.4 The Client may resell marchandises subject pour retention of title in the ordinary course of business. The Client hereby assigns pour us all claims arising from such revente up pour the amount of our invoice value. We accept this assignment. The Client remains authorised pour collect such claims until revocation.
10. Duty pour Inspect, Notification of Defects et Warranty
10.1 The Client must comply avec its duty pour inspect et notify defects in accordance avec section 377 HGB. Goods are deemed approuvé if defects are not reported in due time.
10.2 The Client shall inspect marchandises without undue delay after livraison et notify us in forme écrite of visible defects, shortages, transport damage ou incorrect livraisons within 5 working days of livraison. Hidden defects must be reported without undue delay after discovery.
10.3 In case of justified et timely notice of defects, we will, at our discretion, remedy the defect (repair) ou deliver non-defective replacement marchandises.
10.4 Si subsequent performance fails ou is not carried out within a reasonable period, the Client may reduce the purchase price ou withdraw from the contrat et claim damages in accordance avec clause 12, subject pour statutory conditions.
10.5 Warranty claims become time-barred 12 months after livraison unless mandatory longer periods apply, the defect was fraudulently concealed, a guarantee was given, ou the claim relates pour injury of life, body ou health.
10.6 Pour cutting tools, wear et durée de vie de l’outil depend on external factors (material, machine, bridage, parameters). Normal wear ou reduced durée de vie de l’outil due pour application conditions do not constitute defects.
11. Retours et RMA (Overview)
11.1 There is no general droit de rétractation for clients professionnels. Returns are only possible after prior written approval by EdgeVend et assignment of an RMA number.
11.2 Réclamations (defects, wrong livraison, transport damage) must be submitted within the time limits stated in clause 10.2 et in our Retours et RMA Policy.
11.3 Where a return is approuvé for reasons other than defect, a restocking/handling fee may apply. Any applicable fee will be confirmed in the RMA approval before you ship anything back.
11.4 Retours et RMA are handled in detail under our separate Retours et RMA Policy as amended from time pour time.
12. Responsabilité
12.1 We are liable without limitation for damages resulting from intent ou gross negligence, arising from culpable injury pour life, body ou health, et under the German Product Responsabilité Act.
12.2 In cases of slight negligence, we are liable only for breach of essential contratual obligations (cardinal duties). In such cases, liability is limited pour typical, foreseeable damage.
12.3 We are not liable for indirect ou consequential damages (production downtime, loss of profit, loss of use, loss of expected savings) unless clause 12.1 applies.
12.4 Responsabilité limitations apply also pour legal representatives, employees et vicarious agents.
13. Product Safety, Recalls et Cooperation Duties
13.1 The Client must observe all safety instructions, operating instructions et warnings provided by the manufacturer and/or EdgeVend.
13.2 The Client must not remove safety labels ou product identification et must ensure that users are properly instructed.
13.3 Si EdgeVend ou a manufacturer initiates a safety notice ou recall, the Client shall cooperate reasonably, in particular by stopping use of affected marchandises where required, providing traceability information et returning marchandises where demandeed.
13.4 Si the Client causes ou contributes pour a safety issue by improper use, modification, incorrect installation ou non-compliant application, the Client shall indemnify EdgeVend against third-party claims pour the extent legally permissible.
14. Technical Advice et Responsibility for Manufactured Parts
14.1 Advice et recommendations are provided pour the best of our knowledge but are non contraignant et do not replace the Client’s own testing et validation.
14.2 The Client remains responsible for final parameter selection/programming, bridage, use of suitable holders/machines, et compliance avec laws et safety rules.
14.3 The Client is solely responsible for the quality et conformity of parts manufactured using tools purchased from EdgeVend.
15. Intellectual Property
15.1 Content et materials provided via the Boutique en ligne are protected by IP laws. The Client receives no rights beyond the non-exclusive right pour use the Boutique en ligne for ordering et internal evaluation.
16. Confidentiality
16.1 Non-public information disclosed in connection avec orders ou projects must be kept confidential et used only for the purpose of performance of the contrat, unless disclosure is required by law.
17. Protection des données et Credit Checks
17.1 We process personal data in accordance avec applicable data protection law, in particular the GDPR. Details are set out in our Politique de confidentialité.
17.2 We may perform credit checks ou risk assessments pour the extent legally permissible et necessary, including via service providers.
18. Export Control et Compliance
18.1 Performance is subject pour export control et sanctions compliance. The Client must provide required information et comply avec applicable regulations.
19. Amendments pour Les présentes CGV
19.1 We may amend these CGV avec effect for the future where reasonable for the Client, particularly due pour changes in law, case law ou our business model.
19.2 Amended CGV will be communicated in forme écrite. Si the Client does not object within 4 weeks et continues pour use the Boutique en ligne, the amended CGV are deemed accepted. We will inform the Client about this consequence when notifying amendments.
19.3 Pour contrats already concluded, the CGV in force at the time of the Client’s order apply.
20. Governing Law et Jurisdiction
20.1 Les présentes CGV et all contrats concluded under them are governed by the laws of the Federal Republic of Allemagne, excluding conflict-of-law rules et the UN Convention on Contracts for the International Sale of Goods (CISG).
20.2 Exclusive place of jurisdiction for disputes is EdgeVend’s registered office, provided the Client is a merchant/legal entity under public law/special fund under public law. We may also bring actions at the Client’s general place of jurisdiction.
21. Severability
Si any provision is invalid ou unenforceable, remaining provisions remain unaffected. Parties shall replace the invalid provision avec a valid one that comes as close as possible pour the intended economic purpose.
